Client Agreement

Version 2 · Effective October 24, 2026

This agreement is between DudeDatDid LLC, a North Carolina limited liability company ("DudeDatDid", "we"), and the business you accept it for ("you", the client).

Two yeses before anything starts

Working together takes a yes from both sides. You approve every scope and price in writing, and DudeDatDid approves taking you on. Each client and each project is reviewed and approved by DudeDatDid before work starts. In the DudeDatDid app, your space opens only when both exist: your acceptance of this agreement and our approval of your account. Nothing starts, and nothing is charged, before both.

What we do

DudeDatDid builds and runs websites, automations and AI assistants for small businesses. Approved clients also get a private DudeDatDid app space where an AI assistant works on their tasks under their direction.

Business use only

DudeDatDid is for businesses, not for personal or household use. The person who accepts this agreement confirms they are authorized to accept it for the business.

Licensed, not sold

DudeDatDid owns the DudeDatDid platform: its software, app, workflows, prompts, AI agents, templates and documentation, and every improvement to them. We never sell the platform or hand over its code. While your account is in good standing, we give you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to use it only for your own business, only through the access we give you, and only for projects we have both approved in writing. Anything this agreement doesn't grant stays with DudeDatDid. You keep ownership of your data and content, and of the deliverables your signed scope hands over to you, such as your website files.

What you can't do with it

You will not, and will not let anyone else:

  • resell, rent, sublicense or white-label the platform, or provide it to anyone outside your business;
  • share your login, or let anyone other than your own authorized staff use your account;
  • copy or change the platform, or make your own version of it;
  • reverse engineer it, or try to pull out its code, prompts or settings;
  • use it to build or train a competing product;
  • get around its approvals, limits, logging or security;
  • use it for anything outside an approved scope, or for anything our Acceptable Use Policy prohibits;
  • use it where a failure could cause death, injury or environmental harm, such as emergency services or medical decisions.

You approve every scope and price in writing

Every project, change and price is set out in a written scope that you approve before work starts. A scope describes what the work is for, the channels it uses (for example your website, email, calls, texts or social media), the data involved, the price and the checks before go-live. Extra work happens only after you approve it in writing. You pay only for a scope we've both approved.

New uses need a new yes

No project goes live until DudeDatDid has reviewed it and we have both approved its written scope. Any new use, new channel (for example outbound calls or texts), new kind of data or other material change needs a new review and a written change that both of us approve before it is used. Approvals can be given in writing (email is fine), by e-signature, or by tapping Approve in the DudeDatDid app while signed in. Until then, the change is not covered by your license and we may block it.

We approve taking you on

Sina Gharavi reviews every new client and every project, including the business, what the work is for, the channels and the data involved, and may decline any project or account. Creating an account does not make you a client until we approve it.

Acceptable use

Our Acceptable Use Policy is part of this agreement. It lists what DudeDatDid can't be used for. The AI is only used for lawful work you approve.

Your legal responsibilities

You are responsible for how your business uses the service and for following the laws that apply to you, including the TCPA and FCC rules for calls and texts (AI-generated voices count as artificial voices), do-not-call rules, carrier texting rules, call-recording consent laws (some states require everyone on the call to agree), CAN-SPAM and privacy laws. Before we send calls, texts or emails for you, you get every consent the law requires and keep records of it for at least five years, or longer if the law requires. You make sure your AI assistant names your business, says it is AI and that the call may be recorded where that is required, and honors opt-outs. We don't collect consents for you, and we don't give legal advice.

AI can make mistakes

AI tools can be wrong, incomplete or out of date, and the same request can get different answers. Review what they produce before you approve it or rely on it. In the DudeDatDid app, every AI action that changes something in your accounts (for example sending an email or a text, posting, booking, uploading, deleting or spending money) waits for your OK before it happens, and approving it is your decision. The AI models come from third parties and may change.

Every action is logged

Sign-ins, approvals and every action the AI takes in your space are logged. We use these logs to run the service, answer your questions and enforce this agreement.

We can review how it's used

We may review your account activity, logs and settings to check that your use stays within this agreement, your approved scope and the law. When we ask, you show us the consent records you rely on, for example opt-ins for texts and calls. We keep what we see confidential.

Misuse and suspension

If we reasonably believe an account or project breaks this agreement, the Acceptable Use Policy or the law, if its use risks harm to you, us, other clients, our providers or the public, if a provider such as a phone carrier or AI model provider requires it, or if a payment is more than 30 days late, we can pause or end access to the app, in full or in part, and stop work on the project, right away when needed. When we can, we tell you first and give you a chance to fix it. We always tell you why, and we restore access once a fixable problem is fixed.

If your use causes a claim

You will defend DudeDatDid and pay the claims, fines and reasonable legal costs that others, regulators included, bring against us to the extent they come from your data or content, your breach of the Acceptable Use Policy or of what you can't do with the platform, your failure to get a required consent or to follow the laws above, or use outside an approved scope. We tell you about the claim promptly, let you control the defense (you can't settle in a way that admits fault for us without our consent), and help at your cost.

Not financial advice

Nothing we or the AI provide is financial, investment, tax or legal advice. For those decisions, talk to a licensed professional. Don't use the service to give legal, medical, financial or other professional advice to other people.

What we promise, and what we don't

We do our work in a professional and workmanlike way, as your signed scope describes. Apart from that promise, the service is provided "as is" and "as available": we disclaim every other warranty, including merchantability, fitness for a particular purpose and non-infringement, and we don't promise the service or AI output will be accurate, uninterrupted or error-free. We don't guarantee any business result, such as leads, bookings or revenue. The service relies on third-party providers (hosting, AI models, phone and email carriers) that can fail or change.

Limit of liability

To the extent permitted by law, our total liability for all claims is limited to the fees you paid us for the service the claim relates to in the 12 months before the event that caused the claim. Neither of us is liable for lost profits, lost revenue, lost data, business interruption, or indirect, special, incidental, consequential or punitive damages, even if warned they could happen. These limits don't apply to your payments, your duty to defend and pay claims above, or your breach of what you can't do with the platform or of the Acceptable Use Policy.

Either side can end it

You or we can end this agreement at any time by telling the other in writing (email is fine). Approved work already delivered is still paid for, and refunds follow our Refund policy. You can delete your app account at any time from its settings. What by its nature should last after the end still applies, including ownership, what you can't do with the platform, your legal responsibilities, claims, the limits of liability and the dispute terms.

How you accept

You accept this agreement for your business by ticking its box when you create your account or first sign in with your verified email. We record the version you accepted, a fingerprint of its exact text, the time, your network address and its country, your device, and the name and business you gave us. We keep that record for at least six years after your account ends; if you delete your account, we remove the network address from it. When this agreement changes, the version number goes up and you accept the new version once before you keep using the app. If you don't accept a new version, you can stop using the service; refunds follow our Refund policy.

Order of precedence

If documents conflict, this order applies: first a scope or order form we have both signed, then this Client Agreement, then our Terms of Service. Our Privacy Policy and Refund policy also apply.

Governing law and disputes

This agreement is governed by the laws of the State of North Carolina. Before either of us sues, we try in good faith to settle the dispute: written notice first, then 30 days to talk it through. Any lawsuit is brought only in the state or federal courts located in Mecklenburg County, North Carolina.
